Terms & Conditions (as of 01.01.2026)
These Terms & Conditions apply to all quotations, offers, and deliveries from Manutti bv, Beverenstraat 13–17, 8540 Deerlijk, Belgium (Company no. 0476.263.070).
By placing an order or accepting a quotation, the customer acknowledges having read and accepted these Terms & Conditions.
Special agreements or deviations are only valid if confirmed in writing by both parties. In case of contradiction, the specific agreement prevails.
1. Offers & Prices
1.1 All quotations are valid for 30 calendar days unless otherwise stated.
1.2 Orders are only binding after written confirmation by Manutti.
1.3 Prices are in Euro unless expressly indicated.
1.4 Manutti reserves the right to adjust prices due to fluctuations in raw materials, currencies, or transport.
1.5 Multiple items are made-to-order. Once confirmed, orders cannot be modified or cancelled after 24 hours.
1.6 The latest price list, available in our Professional Zone, always replaces previous versions.
1.7 Unless expressly agreed otherwise, the prices mentioned to the customer do not include any governmental taxes, levies or other charges. The customer shall bear such taxes, levies or charges and, if they are charged to Manutti or need to be paid by Manutti as a matter of law, shall reimburse the same to Manutti upon first request.
2. Payment Terms
2.1 Invoices are payable in full , without deduction or set-off, unless otherwise expressly stipulated.
2.2 Late payments automatically incur interest of 1% per month plus a fixed indemnity of 12% (min. €250).
2.3 In case of non-payment, all outstanding invoices become immediately due and Manutti may suspend deliveries.
2.4 For advance payments: goods will only be shipped after full payment is received.
2.5 If the customer’s financial situation raises concerns, Manutti may require guarantees before continuing deliveries.
2.6 If payment by instalments has been agreed to by Manutti, and one instalment is not paid in time or paid in full, the outstanding amount shall become automatically due.
2.7 In case of non-payment on the due date, all other outstanding claims against the customer become automatically due without prior written notice. In such case, Manutti also reserves the right to suspend the execution of all current orders without prior notice and without compensation.
2.8 In instances where advance payments are required, the goods will only be shipped by Manutti after the full payment has been received. Manutti reserves the right to delay the shipment until complete payment is confirmed.
3. Delivery & Transport
3.1 Delivery times are indicative and subject to transport planning. Delays cannot justify cancellation or compensation.
3.2 Deliveries are Ex-Works Deerlijk (Incoterms 2020), unless otherwise agreed. Risk transfers to the customer at departure.
3.a Transport conditions
3.a.1 BeNeLux: Orders < €3.500 excl. VAT → delivery cost €350 excl. VAT. Above €3.500 → free of charge.
3.a.2 France, Germany, Spain, Portugal, Switzerland, Austria, Italy (mainland only): Orders < €3.500 excl. VAT → delivery cost €400 excl. VAT. Above €3.500 → free of charge.
3.a.3 Other countries: Shipments are Ex-Works Deerlijk, Belgium. Courier or third-party shipments requested by the partner incur an additional handling fee of €150 excl. VAT.
3.b Transport Responsibility & Carrier Conditions
3.b.1 Transport of goods is carried out at the sole responsibility and risk of the customer, even if Manutti arranges or facilitates transport on the customer’s behalf.
3.b.2 Manutti reserves the right to refuse carriers or transport means designated by the customer if, in Manutti’s reasonable opinion, the vehicle, equipment, or loading conditions do not meet the standards required to ensure safe, damage-free transport or efficient loading of the goods.
3.b.3 Any additional costs resulting from inadequate transport means shall be borne entirely by the customer.
3.c Guidelines for receiving goods
3.c.1 Check the number of boxes and packaging condition on delivery.
3.c.2 Note any shortages or damages clearly on the CMR/delivery note and submit a claim via our Professional Zone within 2 business days.
3.c.3 Failure to follow these procedures releases Manutti from liability.
3.c.4 If the customer refuses to accept delivery, makes it impossible for Manutti to carry out deliver or substantially delays the delivery, Manutti shell be entitled to terminate the contract by giving written notice, without there being any need for a court ruling or any other formality. As of such written notice, the contract shall be deemed to be terminated on account of a breach by the customer and compensation shall be due. Without prejudice to Manutti’s right to prove and claim the higher actual damage, compensation shall amount, as a minimum, to a lump sum of 35% of the total purchase price exclusive of VAT. If the contract relates to custom made products, such compensation shall amount, as a minimum, to a lump sum of 75% of the total purchase price exclusive of VAT. When partial delivery has already taken place, Manutti shall be entitled to invoice the customer for that part and to terminate the contract for the rest.3 In such case, the lump sum compensation shell be 35% or 75% of the purchase price exclusive of VAT of the goods that have not been delivered.
4. Retention of Title
4.1 Delivered goods remain the property of Manutti until full payment of principal, interest, and charges. Until then, goods may not be resold, pledged, or encumbered.
5. Warranty & Returns
5.1 Manutti products carry a 3-year warranty against manufacturing defects (2 years for cushions, protective covers, and textiles), under normal residential use.
5.2 Variations in color, weight, or dimensions are inherent to handmade furniture and not covered.
5.3 Warranty excludes normal wear and tear characteristics such as discoloration, fading, scratches, wood structure changes, improper maintenance, mishandling, or non-residential use.
5.4 Claims must be submitted via our Professional Zone with full details and within 2 weeks of discovery (hidden defects) or 2 business days (visible damages).
5.5 Returns require prior written approval. Unauthorized returns will be refused. Approved returns must be in original, undamaged packaging.
5.6 If a return is accepted for commercial reasons, a minimum handling cost of 10% will be deducted from the credit note.
6. Liability
6.1 Manutti cannot be held liable for damages due to transport, improper assembly, maintenance, or use not in accordance with instructions.
6.2 Liability is in any case limited to the value of the goods supplied.
6.3 The customer indemnifies Manutti against third-party claims exceeding Manutti’s obligations.
7. Force Majeure & Hardship
7.1 In case of force majeure (events beyond Manutti’s control such as strikes, transport issues, natural disasters), Manutti may suspend or cancel the contract without compensation.
7.2 In case of major changes in economic circumstances, both parties will negotiate in good faith for fair contract adjustments.
8. Data Protection
8.1 Manutti respects your rights when processing your personal data. You will find how Manutti collects, processes and uses your personal data in the “Privacy Statement” which is on the website: www.manutti.com and in our Professional Zone.
9. Miscellaneous
9.1 Invalid provisions will be replaced by valid ones reflecting the original intent.
9.2 Manutti reserves the right to update these Terms & Conditions with 30 days’ prior notice.
9.3 All contracts are governed by Belgian law, with exclusive jurisdiction of the courts of Kortrijk (Gent judicial district).
